This is a full-time on-site role for a Chief Financial Officer, with Company Secretary responsibilities as well. The Chief Financial Officer will be responsible for financial planning, preparing and analyzing financial statements, financial reporting, SECP reporting, and utilizing analytical skills in decision-making. The role will be based in the Islamabad office, and directly report to the Chief Executive Officer.

Responsibilities:

  1. Financial Strategy and Planning:

    • Develop financial strategies to support the company’s goals.
    • Oversee the company\\\'s budgeting process, including forecasting and financial planning.
    • Evaluate and manage financial performance against the strategic plan.
  2. Financial Reporting and Analysis:

    • Ensure accurate and timely financial reporting to stakeholders, including, but not limited to, monthly, quarterly, and annual reports.
    • Analyze financial data to identify trends, risks, and opportunities.
    • Provide insights and recommendations for business performance improvements.
  3. Corporate Governance:

    • Ensure the company complies with statutory and regulatory requirements.
    • Advise the board on corporate governance practices and standards.
    • Maintain the company’s statutory registers and records.
  4. Board Support:

    • Organize and prepare agendas for board meetings and annual general meetings (AGMs).
    • Take minutes at board meetings and AGMs and ensure they are accurately recorded.
    • Facilitate effective communication between the board, management, and shareholders.
  5. Compliance and Legal:

    • Ensure compliance with corporate laws and regulations, including filings with regulatory bodies.
  6. Risk Management:

    • Develop and implement risk management strategies to safeguard the company’s assets.
    • Oversee internal controls and ensure compliance with regulatory requirements.
    • Manage insurance policies and other risk mitigation tools.
    • Oversee cash flow management and optimize the company’s liquidity position.
    • Manage relationships with banks, investors, and other financial institutions.
    • Secure funding and manage the company’s capital structure, including debt and equity financing.
  7. Financial Operations:

    • Supervise the accounting, tax, and financial operations teams.
    • Ensure compliance with accounting standards and regulatory requirements.
    • Implement and maintain financial systems and processes to improve efficiency.
    • Evaluate and manage investments, mergers, and acquisitions.
    • Conduct financial due diligence on potential investment opportunities.
    • Oversee the integration of acquired companies.
    • Provide strategic financial leadership to the executive team.
    • Collaborate with other departments to support overall business objectives.
    • Develop and mentor financial staff.
  8. Shareholder Relations:

    • Manage shareholder communications and relations.
    • Ensure timely and accurate distribution of dividends and other shareholder entitlements.
    • Handle queries and issues raised by shareholders.
  9. Record Keeping and Reporting:

    • Maintain accurate records of the company’s governance activities.
    • Prepare and file annual reports, returns, and other statutory documents.
    • Ensure that the company’s disclosures are in line with legal requirements.
  10. Policy Development:

  • Develop and implement policies related to corporate governance, compliance, and ethics.
  • Ensure that these policies are communicated effectively within the organization.
  1. Training and Development:
  • Organize training sessions for the board and senior management on corporate governance and compliance.
  • Keep the board informed of regulatory changes and their implications.

Qualification:

  • CA, ICMA, ACCA, MBA (Finance & Accounting)

Experience:

  • 5 years or more in the Finance or Banking Sector
