We are seeking a highly skilled and experienced Compliance and Legal Manager to oversee all legal and regulatory compliance matters for our Non-Banking Financial Company (NBFC) in Pakistan. The Compliance and Legal Manager will be responsible for managing interactions with government agencies, ensuring compliance with legal requirements, and coordinating with law firms for reviewing contracts and agreements. The ideal candidate will have a strong legal background, experience in handling government documentation, and preferably experience in court proceedings.

Key Responsibilities:

  1. Regulatory Compliance:

    • Ensure compliance with all relevant regulations and laws, including those set by SECP, FBR, FIA, EOBI, and other government bodies.
    • Maintain up-to-date knowledge of changes in legislation and regulatory requirements affecting the NBFC sector.
    • Prepare and submit required documentation and reports to government agencies in a timely manner.
  2. Legal Affairs:

    • Coordinate with designated law firms to review and draft contracts, agreements, and other legal documents.
    • Ensure that all company contracts and agreements comply with legal standards and internal policies.
    • Manage and mitigate legal risks by implementing appropriate measures and strategies.
  3. Government Liaison:

    • Act as the primary point of contact between the company and government agencies.
    • Handle all communications and interactions with government officials and regulatory bodies.
    • Address and resolve any legal or regulatory issues that may arise.
  4. Court Proceedings:

    • Represent the company in court when necessary, ensuring the company's interests are adequately protected.
    • Work with external legal counsel to prepare for and manage litigation and other legal proceedings.
    • Provide legal advice and support to senior management regarding potential legal disputes and litigation.
  5. Internal Compliance Management:

    • Develop and implement internal policies and procedures to ensure compliance with legal and regulatory requirements.
    • Conduct regular compliance audits and risk assessments to identify and address potential issues.
    • Provide training and guidance to employees on compliance matters and legal best practices.
  6. Documentation and Record-Keeping:

    • Maintain accurate and comprehensive records of all legal and compliance-related documents.
    • Ensure proper filing and documentation of all correspondence with government agencies and law firms.
    • Manage the company's legal document repository and ensure confidentiality and security of sensitive information.

Qualifications:

  • Bachelor’s degree in Law (LLB) or related field (Master’s degree or LLM preferred).
  • Minimum of 5 years of experience in legal and compliance management, preferably within the financial services sector.
  • In-depth knowledge of Pakistani laws and regulations, particularly those relevant to NBFCs.
  • Proven experience in handling government documentation and interactions with regulatory bodies.
  • Experience in court proceedings and litigation management is highly desirable.
  • Strong analytical, problem-solving, and decision-making skills.
