LOLC Microfinance Bank is seeking an Assistant to the Company Secretariate who will play a critical role in supporting the Company Secretary. The successful candidate will assist in managing statutory obligations and regulatory compliance, ensuring all documents and records are accurately maintained. This position requires a proactive individual capable of performing various administrative tasks related to corporate governance, including drafting meeting minutes, preparing working papers, and facilitating board meetings. The Assistant will work in a collaborative environment, providing timely support to the Company Secretary while upholding the highest standards of professionalism and confidentiality.

In this role, the Assistant will actively engage in stakeholder communications, coordinating essential documentation, and ensuring compliance with the provisions of the Companies Law. The ideal candidate will possess strong organizational skills, keen attention to detail, and the ability to handle sensitive information with care. The position does not involve managing a team, allowing the Assistant to focus on executing essential support tasks effectively and efficiently.

Responsibilities

 

  • Assist the Company Secretary in maintaining statutory registers and making necessary filings with the registrar of Companies, including annual returns and financial statements.
  • Support the drafting of meeting minutes, working papers, and agendas for Board meetings and Committees.
  • Assist in the preparation and submission of various documents/returns as required under the Companies Law.
  • Maintain books and registers of the company as prescribed under legal obligations.
  • Distribute notices and agendas of Board meetings to all directors effectively and in a timely manner.
  • Record and compile minutes of the proceedings of the Board of Directors' meetings accurately.
  • Handle all correspondence between the company and shareholders to ensure clear communication.
  • Perform data entry and manage document management systems to maintain organized filing and record-keeping.
  • Conduct legal research as necessary to support compliance with corporate governance requirements.
  • Generate reports as requested to assist in decision-making processes within the company.
  • Execute any additional tasks or responsibilities assigned by the supervisor or line manager.
